Welcome to MAD KOLS! These Terms and Conditions ("Terms") govern your access to and use of the MAD KOLS platform and services (collectively, the "Service") provided by MAD WORLD LTD. ("MAD KOLS," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

By creating an account, accessing, or using MAD KOLS, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and MAD WORLD LTD.

You must be at least 18 years old to use MAD KOLS. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You will provide accurate and complete information when creating an account
• Your use of the Service complies with all applicable laws and regulations

MAD KOLS is a Software-as-a-Service (SaaS) platform for influencer marketing and analytics. The Service may utilize artificial intelligence and machine learning technologies to process queries and generate insights.

X/Twitter OAuth: To use MAD KOLS, you must authenticate using X (formerly Twitter) OAuth. By connecting your X account, you authorize us to access:

• Your name
• Your X username (handle)
• Your profile picture
• Your email address

Account Security: You are responsible for maintaining the confidentiality of your account credentials, all activities that occur under your account, and notifying us immediately of any unauthorized use of your account at [email protected].

Account Accuracy: You agree to provide accurate, current, and complete information and to update this information to maintain its accuracy.

Subscription Options: MAD KOLS offers subscription-based access to the Service with the following options:

• Monthly subscription plans
• Annual subscription plans (billed annually)

Payment Processing: All payments are processed securely through Stripe, our third-party payment processor. By subscribing, you agree to Stripe's terms of service and authorize us to charge your payment method.

Billing Cycle:

• Monthly Plans: You will be billed on the same day each month as your initial subscription date
• Annual Plans: You will be billed once per year on your subscription anniversary date

Price Changes: We reserve the right to modify subscription prices at any time. Price changes will be communicated to you at least 30 days in advance, will not affect your current billing cycle, and will take effect at your next renewal.

Failed Payments: If a payment fails, we will attempt to process payment again. Your access may be suspended until payment is successful. Your account may be terminated after multiple failed payment attempts.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting [email protected]. Upon cancellation, you will retain access to the Service until the end of your current billing period, your subscription will not automatically renew, and no further charges will be made to your payment method.

No Refunds: All subscription fees are non-refundable. If you cancel your subscription, you will not receive a refund for any unused portion of your subscription period. This policy applies to both monthly and annual subscriptions.

Termination by MAD KOLS: We reserve the right to suspend or terminate your account and access to the Service at any time, with notice, if you breach these Terms, engage in fraudulent or illegal activities, your payment method fails repeatedly, or we are required to do so by law. In the event of termination for cause, you will not be entitled to any refund.

Permitted Use: You may use MAD KOLS solely for lawful business purposes related to influencer marketing, research, and campaign management.

Prohibited Uses - You agree NOT to:

Illegal Activities:

• Use the Service for any illegal purpose or in violation of any laws
• Engage in fraud, money laundering, or other criminal activities

Service Integrity:

• Use automated bots, scripts, or other means to access the Service (except as explicitly permitted by us)
• Attempt to bypass any security features or access controls
• Interfere with or disrupt the Service or servers

Third-Party Rights:

• Violate X/Twitter's Terms of Service or any other third-party terms
• Infringe on intellectual property rights of others
• Resell, redistribute, or white-label the Service without authorization

Harmful Behavior:

• Harass, abuse, threaten, or harm others
• Create fake accounts or impersonate others
• Transmit viruses, malware, or other malicious code
• Collect or harvest personal information of other users

Competitive Use:

• Use the Service to build a competing product or service
• Benchmark the Service for competitive purposes without permission

Enforcement: Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

Ownership: MAD KOLS and its licensors own all rights, title, and interest in the Service, including all software, algorithms, branding, and proprietary methodologies. You retain ownership of any content you submit, such as search queries and campaign descriptions.

License to Use: MAD KOLS grants you a limited, non-exclusive, non-transferable license to access and use the Service and any analytics or reports generated by the Service for your business purposes. You may not resell, redistribute, or use our data to create competing services.

License to MAD KOLS: You grant MAD KOLS a worldwide, non-exclusive license to use, process, and analyze the content you submit to provide and improve the Service.

Query Processing: Your search queries and campaign descriptions are processed using third-party artificial intelligence and machine learning services. By using the Service, you consent to this processing to deliver relevant results and insights.

Aggregated Data: We may use aggregated, anonymized usage data to improve our algorithms, conduct research, and generate industry insights. This aggregated data does not identify you personally.

Integration with X/Twitter: MAD KOLS integrates with X (formerly Twitter) via OAuth. Your use of X data through MAD KOLS is subject to X's Terms of Service and API Terms. You are responsible for complying with X's terms.

Payment Processing: Stripe processes all payments. Your payment information is subject to Stripe's Privacy Policy and Terms of Service. MAD KOLS does not store your complete credit card information.

Other Services: We may use other third-party service providers to operate the Service. We are not responsible for the actions or policies of third-party services.

Service Provided "As Is": We strive to maintain high availability of the Service, but we do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

No Service Credits: Service unavailability or interruptions do not entitle you to refunds, credits, or service extensions.

You have the right to export your data from MAD KOLS at any time during your active subscription. To request a data export, contact [email protected].

Service "As Is": THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Data Accuracy: MAD KOLS does not warrant that influencer data, analytics, or results will be complete, accurate, current, or error-free. You are responsible for verifying any information obtained through the Service before making business decisions.

No Professional Advice: MAD KOLS provides tools and data, not professional marketing, legal, or business advice. You should consult qualified professionals for specific advice.

Disclaimer of Damages: TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAD WORLD LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

Maximum Liability: IN NO EVENT SHALL MAD WORLD LTD.'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

Exceptions: Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

You agree to indemnify, defend, and hold harmless MAD WORLD LTD., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of applicable laws or regulations

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Jurisdiction: You agree that any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

Informal Resolution: Before filing a claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally.

Individual Claims Only: You agree to bring claims only in your individual capacity and not as part of any class action, collective action, or representative proceeding.

MAD KOLS may be accessed from countries around the world. If you access the Service from outside the United States, you are responsible for compliance with local laws. By using the Service, you consent to the transfer and processing of your data as described in our Privacy Policy.

Modifications: We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this document, notify you via email or prominent notice in the Service, and provide at least 30 days' notice before material changes take effect.

Acceptance of Changes: Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and MAD WORLD LTD. regarding the Service.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.

Survival: Provisions that by their nature should survive termination (including ownership, warranty disclaimers, indemnity, and limitations of liability) will survive termination of these Terms.
